These Professionals Terms of Service ("Professional Terms") form a binding agreement between you, the non-licensed service provider ("Professional," "you," or "your") and ConnectHealthMD Corporation ("ConnectHealthMD," "Company," "we," "our," or "us") and govern your use of the ConnectHealthMD platform, including our websites, mobile experiences, and any related services (collectively, the "Platform") in your capacity as a Professional.

These Professional Terms apply in addition to our general Terms of Service, our Seller Terms of Service, and our Privacy Policy. Where any conflict exists between these Professional Terms and another agreement, the more specific Professional-facing language in this document controls for Professionals.

Professionals are non-licensed service providers such as wellness practitioners, coaches, fitness trainers, nutrition educators (where permitted by state law), meditation guides, and similar service providers. If you hold a state professional license that is required to perform your services (medicine, nursing, pharmacy, etc.), you must register and operate as a Licensed Professional and accept the LP Terms instead of these Professional Terms.

By creating a Professional account, accepting any client engagement, or receiving any payout, you agree to these Professional Terms. If you do not agree, do not use the Platform as a Professional.

These Professional Terms include an arbitration agreement and class-action waiver in Section 16. Read those sections carefully - they affect how disputes between you and ConnectHealthMD are resolved.

1. ConnectHealthMD Is a Marketplace, Not a Healthcare Provider

ConnectHealthMD is a technology marketplace that connects independent service providers with users. ConnectHealthMD is a marketplace - we are not a healthcare provider in any way, shape, or form. We do not practice medicine, dispense medications, deliver clinical care, or provide medical advice. Services rendered through the Platform are the sole responsibility of the Professional providing them.

You acknowledge and agree that ConnectHealthMD does not employ, supervise, direct, or control your professional decisions, service delivery, or business operations. You are an independent contractor and not an employee, agent, partner, or joint venturer of ConnectHealthMD.

2. Scope and Boundaries of Your Practice

You agree that:

  • You will provide only services that you are competent and lawfully permitted to provide, and you will operate within the scope of any certifications, training, or registrations you hold;
  • You will not practice medicine, nursing, psychotherapy, pharmacy, or any other state-licensed profession, and you will not diagnose, treat, prescribe for, or claim to cure any medical or mental-health condition;
  • You will clearly distinguish your services from licensed clinical care in your listings, profile, and communications with users, and you will not misrepresent your qualifications;
  • Where state law requires registration, certification, business licensing, or specific scope-of-practice limitations for your services (for example, nutrition counseling restrictions in certain states), you will comply with those requirements; and
  • You will refer users to a qualified Licensed Professional or to emergency services when their needs exceed the scope of what you may lawfully or competently provide.

3. Eligibility

To use the Platform as a Professional, you must:

  1. Be at least 18 years old and have the legal capacity to enter these Professional Terms;
  2. Hold and maintain any certifications, registrations, business licenses, or training credentials you list on the Platform;
  3. Provide truthful, current, and complete information during registration and ongoing use;
  4. Pass and continue to pass the verification, fraud-prevention, and credential checks ConnectHealthMD applies; and
  5. Not be subject to any legal action that would prevent you from operating on the Platform.

You authorize ConnectHealthMD to verify your credentials and to revoke access if any credential lapses or is found to be misrepresented. Material misrepresentation is grounds for immediate termination, forfeiture of pending payouts to the maximum extent permitted by law, and referral to authorities.

4. Account Security and Use

You are responsible for the security of your Professional credentials. You may not share, sell, transfer, or sublicense your account. Notify us immediately at support@connecthealthmd.com of any unauthorized access.

5. Listings, Pricing, and Service Delivery

You are solely responsible for the accuracy of your listings, including descriptions, prices, fees, taxes, scheduling, and what is included. You agree:

  • Every listing is truthful, not misleading, and complies with applicable consumer-protection and advertising rules (including FTC endorsement disclosure rules where applicable);
  • You will price services consistently and not engage in bait-and-switch, hidden fees, or deceptive pricing practices;
  • You will keep availability accurate and will not accept engagements you cannot fulfill;
  • You will deliver services in a professional manner, keep agreed appointment times, and communicate proactively about scheduling, cancellations, or changes;
  • You will not make health, medical, or wellness claims that you cannot substantiate, and you will avoid disease-treatment claims for products or services not approved by relevant regulators.

6. Platform Visibility and Moderation Rights

ConnectHealthMD makes no promise about how prominently your profile, listings, or content will appear. Visibility, ranking, and recommendation placement are determined by ConnectHealthMD in our sole discretion. ConnectHealthMD reserves the right to terminate your account, lower your visibility, hide your reviews, restrict your features, or take any other remedial action - for any reason the Platform sees fit, with or without notice and with or without explanation.

7. Fees, Payments, and Payouts

ConnectHealthMD charges service fees, marketplace fees, payment-processing fees, advertising fees, and/or subscription fees as published. Fees are non-refundable except as expressly stated.

Payments are processed by third-party processors (such as Stripe and PayPal) under their own terms. You authorize ConnectHealthMD and our processors to debit, credit, hold, or offset your payout balance for any amount permitted by these Professional Terms.

7.1 Minimum Payout

Payouts are released on the schedule published in your dashboard, subject to a minimum payout amount of $5.00, identity and tax verification, fraud review, dispute and chargeback reserves, and offsets for amounts you owe ConnectHealthMD. Balances below the minimum payout amount roll over until they exceed it.

7.2 Holds and Reserves

ConnectHealthMD may freeze, delay, or hold all or part of a payout when we reasonably believe it is necessary to protect the Platform or its users.

7.3 Tax Responsibilities

You are solely responsible for determining, collecting, reporting, and remitting all taxes arising from your activity on the Platform.

8. Refunds, Disputes, and Chargebacks

ConnectHealthMD operates a structured dispute-resolution process. Where a dispute is escalated, ConnectHealthMD may make a final determination on how Platform funds are allocated, and that determination is binding for Platform purposes.

8.1 Chargebacks

Chargebacks may lead to permanent account termination. You will cooperate at your expense in defending chargebacks, and chargeback losses plus related fees may be deducted from your payout, recovered through clawback, or pursued as a debt.

9. Clawback Rights

ConnectHealthMD has the right to clawback from future payouts against any paid-out funds that are refunded in the future, regardless of cause. The clawback may take the form of payout offsets, direct debits where authorized, invoices, or pursuit as a debt. If your payout balance is insufficient, the deficit is a debt you owe to ConnectHealthMD.

10. Platform Circumvention

You may not steer Platform-acquired users off-platform to circumvent fees. Circumvention is a material breach and may result in fee back-charges, forfeiture of payout balance, account termination, and pursuit of damages.

11. Content; License to ConnectHealthMD

You retain ownership of content you upload, post, or save to the Platform. However, you grant ConnectHealthMD a worldwide, irrevocable, royalty-free, fully paid, sublicensable, transferable license, in perpetuity, to host, store, reproduce, modify (for formatting and presentation), display, distribute, perform, and create derivative works of your content for the purpose of operating, promoting, marketing, improving, and analyzing the Platform on any medium now known or later developed.

You agree that ConnectHealthMD owns the right in perpetuity to use any content uploaded or saved to our Platform for those purposes. This license survives termination.

You represent and warrant that you have all rights necessary to grant this license and that your content does not violate any law, contract, or third-party right.

12. Reviews and Reputation

Reviews on the Platform are user-generated content. You agree not to submit fake reviews, trade reviews, threaten or retaliate against users who leave honest reviews, or manipulate ratings.

13. Prohibited Conduct

You agree not to:

  1. Use the Platform for any unlawful purpose;
  2. Misrepresent your identity, credentials, or qualifications;
  3. Practice medicine, nursing, psychotherapy, pharmacy, or any other state-licensed profession without holding the required license;
  4. Make medical-treatment claims you cannot substantiate;
  5. Circumvent the Platform under Section 10;
  6. Reverse engineer, scrape, or harvest data from the Platform;
  7. Upload malware or attempt unauthorized access;
  8. Submit fake reviews or engage in coordinated inauthentic activity;
  9. Harass, threaten, defame, or stalk other users;
  10. Post other people's protected health information or violate our Social Community Policy; or
  11. Create or maintain accounts in evasion of a prior suspension.

14. Termination

14.1 By You

You may close your Professional account at any time. Closure does not relieve you of obligations that arose before closure, including pending engagements, open disputes, indemnification, clawback exposure, and tax responsibilities.

14.2 By ConnectHealthMD

ConnectHealthMD has the right to terminate any account for any reason with no notice. Termination may be immediate and at our sole discretion, with or without cause.

14.3 Payout Hold on Terminated Accounts

If your account is terminated and you have an existing balance in your payout wallet, ConnectHealthMD has up to 360 days from the date of termination to release that balance to you. The released amount, if any, is the balance remaining after deducting amounts subject to refund, dispute, chargeback, clawback, legal claim, lien, court order, debt to ConnectHealthMD, or amounts we determine in good faith to be the proceeds of fraud or violation of these Professional Terms (which are forfeit). If at the end of the hold any portion remains subject to such matters, ConnectHealthMD may continue to hold that portion until resolved. ConnectHealthMD has no obligation to pay out funds tied to fraud, unlawful activity, unresolved clawbacks, or unresolved legal claims, regardless of how much time has passed.

14.4 Survival

Sections 1, 7, 8, 9, 11, 12, 13, 14, 15, 16, 17, and 18 survive termination.

15. Liability and Indemnification

15.1 Professional Liability

The Professional is fully liable for any services they provide on the Platform. ConnectHealthMD is a marketplace and does not assume responsibility for the quality, accuracy, or fitness of any service.

15.2 Indemnification

You agree to defend, indemnify, and hold ConnectHealthMD, its officers, directors, employees, affiliates, and licensors harmless from and against any and all claims, demands, suits, proceedings, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • The services you provide on or through the Platform;
  • Any wrongdoing, negligent act, omission, misrepresentation, or fraud by you;
  • Your content and your use of the Platform;
  • Your breach of these Professional Terms or any policy referenced in them;
  • Your violation of any law, regulation, or third-party right; and
  • Any claim brought by a user, regulator, or third party arising from your acts or omissions on the Platform.

15.3 Limitation of ConnectHealthMD's Liability to Professionals

To the maximum extent permitted by law, ConnectHealthMD's aggregate liability to you for any and all claims arising out of or relating to the Platform or these Professional Terms will not exceed the greater of (a) the total platform fees you paid to ConnectHealthMD in the 12 months preceding the event giving rise to the claim, or (b) US$100. ConnectHealthMD will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

16. Dispute Resolution; Arbitration; Class-Action Waiver

Read this section carefully - it affects your legal rights.

Before filing a claim, you agree to try to resolve the dispute informally by emailing legal@connecthealthmd.com. If unresolved within 60 days, either side may proceed to binding arbitration.

You and ConnectHealthMD agree that any dispute arising out of or relating to these Professional Terms or the Platform will be resolved by final and binding arbitration, on an individual basis, administered by JAMS or the American Arbitration Association under its commercial arbitration rules then in effect. The arbitration will take place in Wilmington, Delaware, or by remote/teleconference at the Professional's option.

You and ConnectHealthMD each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative action.

Either party may seek injunctive or other equitable relief in court for actual or threatened infringement of intellectual property rights, the prohibited-conduct provisions, the platform-circumvention provisions, or the clawback provisions.

You may opt out of this arbitration agreement by emailing legal@connecthealthmd.com within 30 days of first accepting these Professional Terms with the subject line "Professional Arbitration Opt-Out".

These Professional Terms are governed by the laws of the State of Delaware without regard to its conflicts-of-law rules. Where arbitration does not apply, exclusive jurisdiction lies in the state and federal courts located in Wilmington, Delaware.

17. Changes

ConnectHealthMD may update these Professional Terms from time to time. Your continued use of the Platform after changes take effect constitutes your acceptance of the updated Professional Terms.

18. Miscellaneous

  • Entire agreement. These Professional Terms (together with the general Terms of Service, the Seller Terms of Service, the Privacy Policy, and any policy referenced in them) are the entire agreement between you and ConnectHealthMD about your activity as a Professional.
  • Order of precedence. If anything in these Professional Terms conflicts with the general Terms of Service or the Seller Terms of Service, the more specific Professional-facing language in this document controls.
  • Severability. If any provision is unenforceable, the rest remain in effect.
  • Assignment. You may not assign these Professional Terms. ConnectHealthMD may assign freely.
  • No agency. Nothing in these Professional Terms creates an agency, partnership, employment, or joint venture. You are an independent contractor.
  • Force majeure. Neither party is liable for failures caused by events beyond reasonable control.
