These Seller Terms of Service ("Seller Terms") form a binding agreement between you ("Seller," "you," or "your") and ConnectHealthMD Corporation ("ConnectHealthMD," "Company," "we," "our," or "us") and govern your use of the ConnectHealthMD platform, including our websites, mobile experiences, and any related services (collectively, the "Platform") in your capacity as a seller of products or services.


These Seller Terms apply in addition to our general Terms of Service and Privacy Policy. If anything in these Seller Terms conflicts with the general Terms of Service, the more specific seller-facing language in this document controls for sellers.


By creating a seller account, listing a product or service, accepting any order, or receiving any payout, you agree to these Seller Terms. If you do not agree, do not sell on the Platform.

These Seller Terms include an arbitration agreement and class-action waiver in Section 19. Read those sections carefully - they affect how disputes between you and ConnectHealthMD are resolved.


1. ConnectHealthMD Is a Marketplace, Not a Healthcare Provider


ConnectHealthMD is a technology marketplace that connects buyers (Patients) with independent sellers, including Vendors, Professionals, and Licensed Professionals. ConnectHealthMD is a marketplace - we are not a healthcare provider in any way, shape, or form. We do not practice medicine, dispense medications, deliver clinical care, or provide medical advice. Clinical care, prescriptions, and product fulfillment are the sole responsibility of the independent sellers who provide them.


You acknowledge that ConnectHealthMD does not supervise, control, or endorse any seller, product, service, or treatment, and that ratings, reviews, and listings reflect the views of the parties posting them, not ConnectHealthMD's.


2. Who These Seller Terms Apply To


These Seller Terms apply to anyone using the Platform to offer or sell anything to a Patient or other user, including:


  • Vendors (such as pharmacies and product sellers)
  • Professionals (non-licensed service providers)
  • Licensed Professionals (clinicians holding valid licensure and, where applicable, DEA registration)
  • Any other party operating in a seller capacity, regardless of label


Where these Seller Terms refer simply to "Seller," they apply to all of the above unless a specific subsection narrows the scope.


3. Seller Eligibility and Verification


To sell on the Platform, you must:


  1. Be at least 18 years old and have the legal capacity to enter these Seller Terms;
  2. Hold and maintain in good standing all licenses, registrations, certifications, permits, and credentials required to lawfully sell, ship, prescribe, dispense, or fulfill the products or services you list, in every jurisdiction in which you operate on the Platform;
  3. Provide truthful, current, complete, and accurate information during registration and credentialing - including, where applicable, your legal name, business name, business address, taxpayer identification, NPI, DEA registration, license numbers and states, and payout details;
  4. Pass and continue to pass the verification, fraud-prevention, and credential checks ConnectHealthMD applies; and
  5. Not be subject to any legal, regulatory, or licensing-board action that would prevent you from operating on the Platform.


You authorize ConnectHealthMD to verify your credentials with primary sources at any time and to revoke access if any credential lapses, is revoked, or is found to be misrepresented. Material misrepresentation in registration or credentialing is grounds for immediate termination, forfeiture of pending payouts to the maximum extent permitted by law, and referral to authorities.


4. Account Security and Authorized Use


You are responsible for maintaining the confidentiality of your seller credentials and for all activity that occurs under your account. Each seller account is for the credentialed individual or authorized officer of the credentialed entity only. You may not share, sell, transfer, or sublicense your seller account. Notify us immediately at support@connecthealthmd.com of any unauthorized access.


ConnectHealthMD may use trust signals, fraud-detection scoring, device fingerprinting, IP analysis, and identity-verification tools to keep the Platform safe. Triggering these systems may cause temporary or permanent restrictions on your account.


5. Listings, Pricing, and Inventory


You are solely responsible for the accuracy of your listings, including descriptions, photographs, ingredients, dosage information, indications, contraindications, claims, prices, fees, taxes, shipping options, and inventory availability.


You agree that:


  • Every listing is truthful, not misleading, and complies with all applicable FDA, FTC, USDA, DEA, state pharmacy-board, weights-and-measures, advertising, labeling, claim-substantiation, and consumer-protection rules;
  • You will not list counterfeit, misbranded, recalled, expired, stolen, or prohibited items, items violating third-party intellectual property, or items that violate our Seller Policy;
  • You will price items consistently and not engage in bait-and-switch, hidden fees, or deceptive pricing practices;
  • You will keep inventory and availability accurate and will not accept orders you cannot fulfill;
  • You will honor the prices and terms shown to the buyer at checkout.


ConnectHealthMD may, at our discretion, remove, demote, label, or refuse any listing that we believe violates these Seller Terms, our policies, or applicable law - with or without notice to you.


6. Orders, Fulfillment, and Customer Service


When you accept an order on the Platform, you agree to:


  • Fulfill the order within the timeframes published in your listing or in our Seller Policy;
  • Use safe and compliant packaging and shipping methods;
  • Provide accurate tracking information when shipping is involved;
  • Comply with all applicable shipping, hazmat, controlled-substance, cold-chain, and labeling rules;
  • For prescription items, dispense only against valid prescriptions issued through the Platform, retain records as required by law, and follow all federal and state pharmacy and Ryan Haight Act rules;
  • Communicate with buyers in a timely, professional, and respectful manner;
  • Handle returns, exchanges, recalls, and adverse-event reporting in compliance with applicable law and our Seller Policy.


You will not abandon customers, refuse to communicate, or fail to respond to legitimate inquiries.


7. Licensed Professional Specific Obligations


If you sell or provide services as a Licensed Professional, you additionally represent and agree that:


  • You comply with all applicable laws and professional standards, including HIPAA, state telemedicine and corporate-practice rules, the federal Controlled Substances Act and DEA regulations, the Ryan Haight Act, the federal Anti-Kickback Statute, the Stark Law (where applicable), state consumer-protection laws, and any rules of your professional licensing board;
  • You - not ConnectHealthMD - are the Covered Entity under HIPAA for the patients you treat using the Platform. Where ConnectHealthMD acts as a Business Associate to you, our handling of Protected Health Information is governed by a separate Business Associate Agreement;
  • You obtain valid informed consent from your patients (including telemedicine consent where required) and maintain medical records consistent with your professional and legal obligations;
  • You are solely responsible for your clinical decisions, including whether to issue, refuse, or modify any prescription. ConnectHealthMD does not direct or influence those decisions;
  • You will respond to messages, appointment requests, and disputes within commercially reasonable timeframes and will not abandon patients without proper transition of care.


8. Vendor Specific Obligations


If you sell as a Vendor, you additionally represent and agree that:


  • You hold all licenses, permits, and registrations required to sell, ship, store, compound, and (where applicable) dispense the products you list;
  • For prescription dispensing Vendors, you operate a properly licensed pharmacy in every state into which you ship and you maintain all required dispensing, recordkeeping, and reporting;
  • You are responsible for the safety, quality, regulatory compliance, and authenticity of every product you list, sell, or fulfill, including liability under any product-liability, consumer-protection, or strict-liability theory;
  • You will participate in any required recall, withdrawal, or adverse-event reporting and will notify ConnectHealthMD promptly of any safety or compliance issue affecting buyers;
  • You will not list, sell, or ship products that are unlawful in the destination jurisdiction.


9. Platform Fees, Payments, and Payouts


ConnectHealthMD charges service fees, marketplace fees, payment-processing fees, advertising fees, and/or subscription fees as published in your seller dashboard or at the time of the relevant transaction. Fees are non-refundable except as expressly stated.

Payments are processed by third-party processors (such as Stripe and PayPal) under their own terms. You authorize ConnectHealthMD and our processors to debit, credit, hold, or offset your payout balance for any amount permitted by these Seller Terms.


9.1 Minimum Payout


Payouts are released on the schedule published in your seller dashboard, subject to all of the following: a minimum payout amount of $5.00, identity and tax verification, fraud review, dispute and chargeback reserves, regulatory holds, and offsets for amounts you owe ConnectHealthMD. Balances below the minimum payout amount roll over until they exceed it.


9.2 Holds, Reserves, and Verification


ConnectHealthMD may freeze, delay, or hold all or part of a payout when we reasonably believe it is necessary to protect the Platform or its users, including in cases of suspected fraud, suspected platform circumvention, suspected misrepresentation, regulatory inquiry, unresolved disputes, chargebacks, sudden changes in volume or product mix, or any material breach of these Seller Terms. Holds remain in place until the underlying issue is resolved.


9.3 Tax Responsibilities


You are solely responsible for determining, collecting, reporting, and remitting all taxes (including sales tax, use tax, VAT/GST, and income tax) arising from your sales on the Platform, except where ConnectHealthMD is the marketplace facilitator under applicable law. ConnectHealthMD may issue tax forms (such as 1099-K) where required.


10. Refunds, Disputes, and Chargebacks


ConnectHealthMD operates a structured dispute-resolution process. Buyers may open disputes within the time window published in our Buyer/Seller Policy. Sellers may propose refunds, replacements, or store credit; buyers may accept or escalate. Where a dispute is escalated, ConnectHealthMD may make a final determination on how Platform funds are allocated, and that determination is binding for the purpose of the Platform's payout flow.


10.1 Chargebacks


A chargeback (a payment reversal initiated by the buyer through their bank or card issuer) is treated separately from our dispute process. Chargebacks may lead to permanent account termination. Excessive chargebacks - even those not your fault - signal risk to our payment processors and to the integrity of the marketplace. You agree that:


  • ConnectHealthMD may dispute or accept chargebacks in its sole discretion;
  • You will cooperate, at your expense, by providing documentation, tracking, communications, prescription records, and any other evidence we reasonably request to defend a chargeback;
  • Chargeback losses, plus any related fees imposed on us by our processors, may be deducted from your payout balance, recovered through clawback under Section 11, or pursued as a debt;
  • Repeatedly directing buyers to chargeback rather than to the Platform's dispute process is a material breach of these Seller Terms.


10.2 Non-Refundable Items


Some items and services are non-refundable by nature (for example, completed consultations, dispensed prescription medications, and digital downloads). Such items must be clearly marked as non-refundable in the listing.


11. Clawback Rights


You acknowledge and agree that ConnectHealthMD has the right to clawback from future payouts against any paid out funds that are refunded in the future. This applies regardless of whether the refund arises from a buyer dispute, chargeback, regulatory order, error correction, fraud finding, recall, or any other cause.


The clawback may take any of the following forms, at ConnectHealthMD's discretion:


  • Offset against your current and future payout balance;
  • Direct debit of your linked payout method, where permitted by law and your payout-processor terms;
  • Invoice for the amount owed, payable within the timeframe stated on the invoice;
  • Pursuit as a debt through any lawful collection means.


If your payout balance is insufficient to cover the clawback, the deficit becomes a debt you owe to ConnectHealthMD and may accrue interest at the lower of 1% per month or the maximum rate permitted by law.


ConnectHealthMD does not perform reverse Stripe transfers; clawbacks operate by offset, debit, or invoicing as described above.


12. Platform Circumvention


You may not steer Platform-acquired buyers off-platform to circumvent fees ("platform circumvention"). This includes, but is not limited to: directing buyers to pay you outside the Platform for services or products that originated on the Platform, embedding off-platform contact details or payment links in messages or listings, or coordinating off-platform fulfillment of Platform transactions.


Circumvention is a material breach of these Seller Terms and may result in fee back-charges (calculated on the off-platform amounts), forfeiture of payout balance, account termination, and pursuit of damages.


13. Promotions, Store Credit, and Referral Programs


ConnectHealthMD may offer promotions, store credit, referral bonuses, invite-ticket balances, or other incentives. Misuse - including self-referrals, manufactured purchases, coordinated multi-account schemes, fake reviews to qualify for incentives, or any other gaming behavior - is a material breach of these Seller Terms and grounds for forfeiture, account suspension, and clawback.


Store credit and promotional balances have no cash value, are not transferable, and are not redeemable for cash except where required by law. They may expire as described in the relevant promotion or in our policies.


14. Content; License to ConnectHealthMD


You retain ownership of the content you upload, post, or save to the Platform - listings, photographs, descriptions, profiles, reviews, messages, and similar (your "Seller Content"). However, you grant ConnectHealthMD a worldwide, irrevocable, royalty-free, fully paid, sublicensable, transferable license, in perpetuity, to host, store, reproduce, modify (for formatting and presentation), display, distribute, perform, and create derivative works of your Seller Content for the purpose of operating, promoting, marketing, improving, and analyzing the Platform and any successor or related service, on any medium now known or later developed.


You agree that ConnectHealthMD owns the right in perpetuity to use any content uploaded or saved to our Platform for the purposes described above. This license survives the termination of your account, the closure of your seller relationship, and the deletion of any individual piece of Seller Content that other users have already interacted with (for example, photographs, listings, or reviews other users have already relied upon).


You represent and warrant that you have all rights necessary to grant this license and that your Seller Content does not violate any law, contract, or third-party right (including intellectual-property, publicity, and privacy rights).


15. Reviews and Reputation


Reviews on the Platform are user-generated content reflecting the views of the reviewer. ConnectHealthMD does not edit reviews to favor or disfavor sellers. You agree not to:


  • Submit fake, paid, or coerced reviews;
  • Trade reviews with other sellers;
  • Threaten, retaliate against, or extort buyers who leave honest reviews;
  • Attempt to manipulate ratings through technical means, sock puppets, or coordinated inauthentic activity;
  • Offer incentives in exchange for positive reviews unless such incentives comply with FTC endorsement rules and are clearly disclosed.


Violation is a material breach and grounds for review removal, listing demotion, account suspension, and termination.


16. Prohibited Conduct


You agree not to, and not to assist or permit anyone else to:


  1. Use the Platform for any unlawful purpose or in violation of any law, regulation, or licensing rule;
  2. Misrepresent your identity, credentials, business status, location, or any material fact;
  3. Sell, prescribe, or solicit controlled substances or other regulated items in violation of applicable law;
  4. Practice a regulated profession (medicine, pharmacy, etc.) without holding valid licensure;
  5. Circumvent the Platform under Section 12;
  6. Reverse engineer, scrape, crawl, harvest, or systematically extract data from the Platform without our prior written consent;
  7. Upload malware, exploit code, or content designed to disrupt the Platform's security or operations;
  8. Attempt to access accounts, data, or systems you are not authorized to access;
  9. Submit fake reviews, manipulate ratings, or engage in coordinated inauthentic activity;
  10. Harass, threaten, defame, dox, or stalk other users;
  11. Post other people's protected health information, sexually explicit material, hate speech, content that sexualizes minors, content that promotes self-harm, or other content that violates our Social Community Policy;
  12. Infringe third-party intellectual property, publicity, or privacy rights;
  13. Resell, redistribute, or commercially exploit the Platform other than through the marketplace mechanisms we provide; or
  14. Create or maintain accounts using another person's identity, fake identity, or in evasion of a prior suspension.


ConnectHealthMD may investigate suspected violations and may suspend or terminate accounts, withhold payouts, void transactions, exercise clawback rights, and report unlawful conduct to authorities.


17. Termination


17.1 Termination by You


You may close your seller account at any time from your seller dashboard or by emailing support@connecthealthmd.com. Closure does not relieve you of obligations that arose before closure, including pending orders, open disputes, indemnification, clawback exposure, and tax responsibilities.


17.2 Termination by ConnectHealthMD


ConnectHealthMD has the right to terminate any account for any reason with no notice. Termination may be immediate and at our sole discretion, with or without cause.


17.3 Effect on Listings and Pending Orders


On termination, your listings will be removed or hidden, and ConnectHealthMD may, at our discretion: cancel pending orders and refund buyers; allow pending orders to be fulfilled by you under our supervision; transfer fulfillment obligations to ConnectHealthMD or to another seller; or take any other reasonable action to protect buyers.


17.4 Payout Hold on Terminated Accounts


If your account is terminated and you have an existing balance in your payout wallet, ConnectHealthMD has up to 360 days from the date of termination to release that balance to you. This hold exists to protect the Platform and buyers from the trailing risk a terminated seller's account exposes us to: late-arriving chargebacks, regulatory actions, recalls, refund demands, and similar.


The released amount, if any, is the balance remaining after deducting:


  • Any amount subject to refund, return, dispute, or chargeback (whether opened before or during the hold period);
  • Any amount subject to clawback under Section 11;
  • Any amount subject to a legal claim, lien, garnishment, court order, or regulatory hold against you, including any claim levied by buyers or by courts;
  • Any debt you owe to ConnectHealthMD, including platform fees, fines, and indemnification amounts owed under Section 18;
  • Any amount we determine in good faith to be the proceeds of fraud or unlawful activity, which is forfeit and not payable.


If at the end of the 360-day hold any portion of the balance is still subject to one or more of the foregoing, ConnectHealthMD may continue to hold that portion until the underlying matter is resolved. ConnectHealthMD has no obligation to pay out funds tied to fraud, unlawful activity, unresolved clawbacks, or unresolved legal claims, regardless of how much time has passed.


17.5 Survival


The following sections survive termination: 1, 9, 10, 11, 14, 15, 16, 17, 18, 19, 20, 21, and 22.


18. Liability and Indemnification


18.1 Seller Liability


The seller is fully liable for any products or services they sell on the Platform. ConnectHealthMD is a marketplace and does not assume responsibility for the safety, quality, accuracy, fitness, regulatory compliance, or authenticity of anything you list, sell, prescribe, dispense, or fulfill.


18.2 Indemnification


You agree to defend, indemnify, and hold ConnectHealthMD, its officers, directors, employees, affiliates, and licensors harmless from and against any and all claims, demands, suits, proceedings, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:


  • The products or services you list, sell, prescribe, dispense, or fulfill;
  • Any wrongdoing of the seller, including any negligent act, omission, misrepresentation, fraud, malpractice, or violation of law or professional standard;
  • Your Seller Content and your use of the Platform;
  • Your breach of these Seller Terms or any policy referenced in them;
  • Your violation of any law, regulation, licensing rule, or third-party right (including intellectual-property, publicity, privacy, or product-liability rights);
  • Any tax, duty, levy, or governmental charge owed by you;
  • Any chargeback, refund, recall, or adverse-event report relating to your sales;
  • Any clinical decision, treatment, or prescription you provide as a Licensed Professional;
  • Any claim brought by a buyer, regulator, professional licensing board, or third party arising from your acts or omissions.


ConnectHealthMD may take exclusive control of the defense and settlement of any matter subject to indemnification at our discretion; if we do, you will cooperate at our expense as required.


18.3 Limitation of ConnectHealthMD's Liability to Sellers


To the maximum extent permitted by law, in no event will ConnectHealthMD or its officers, directors, employees, affiliates, or licensors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, arising out of or relating to the Platform or these Seller Terms, whether based in contract, tort, statute, or otherwise, even if we have been advised of the possibility of such damages.


ConnectHealthMD's aggregate liability to you for any and all claims arising out of or relating to the Platform or these Seller Terms will not exceed the greater of (a) the total platform fees you paid to ConnectHealthMD in the 12 months preceding the event giving rise to the claim, or (b) US$100. This limit is an essential element of our agreement.


19. Dispute Resolution; Arbitration; Class-Action Waiver


Read this section carefully - it affects your legal rights.


19.1 Informal Resolution First


Before filing a claim, you agree to try to resolve the dispute informally by emailing legal@connecthealthmd.com with a description of the dispute and the relief you seek. ConnectHealthMD agrees to do the same. If we cannot resolve it within 60 days, either side may proceed to arbitration.


19.2 Binding Arbitration


You and ConnectHealthMD agree that any dispute, claim, or controversy arising out of or relating to these Seller Terms or the Platform - including the validity, scope, or enforceability of this arbitration agreement - will be resolved by final and binding arbitration, on an individual basis, administered by JAMS or the American Arbitration Association under its commercial arbitration rules then in effect. The arbitration will take place in Wilmington, Delaware, or by remote/teleconference at the seller's option, and the arbitrator's award may be entered in any court of competent jurisdiction.


19.3 Class-Action and Jury-Trial Waiver


You and ConnectHealthMD each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative action. Disputes must be brought in your individual capacity only; the arbitrator may not consolidate claims from multiple persons or preside over any form of representative or class proceeding.


19.4 Exceptions


Either party may seek injunctive or other equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual property rights, the prohibited-conduct provisions, the platform-circumvention provisions, or the clawback provisions.


19.5 Opt-Out


You may opt out of this arbitration agreement by emailing legal@connecthealthmd.com within 30 days of first accepting these Seller Terms with the subject line "Seller Arbitration Opt-Out" and including your name, business name, account email, and a clear statement that you opt out. Opting out does not affect any other part of these Seller Terms.


19.6 Governing Law


These Seller Terms are governed by the laws of the State of Delaware without regard to its conflicts-of-law rules. Where arbitration does not apply, exclusive jurisdiction lies in the state and federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there.


20. Changes to These Seller Terms


ConnectHealthMD may update these Seller Terms from time to time. When we make material changes, we will update the Effective Date at the top and provide additional notice (such as email or in-product banner). Your continued use of the Platform as a seller after changes take effect constitutes your acceptance of the updated Seller Terms. If you do not agree to the changes, your remedy is to stop selling on the Platform and close your seller account, subject to the wind-down provisions of Section 17.


21. Miscellaneous


  • Entire agreement. These Seller Terms (together with the general Terms of Service, Privacy Policy, and any policy referenced in them) are the entire agreement between you and ConnectHealthMD about your selling activity and supersede prior agreements about the same subject.
  • Order of precedence. If anything in these Seller Terms conflicts with the general Terms of Service, the more specific seller-facing language in this document controls for sellers.
  • Severability. If any provision is unenforceable, the rest remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Seller Terms without our prior written consent. ConnectHealthMD may assign these Seller Terms freely (for example, in a corporate transaction).
  • Notices to you may be delivered to the email address on file or by in-product notice. Notices to ConnectHealthMD must be sent to legal@connecthealthmd.com and to the mailing address below.
  • No agency. Nothing in these Seller Terms creates an agency, partnership, employment, or joint venture between you and ConnectHealthMD. You are an independent contractor.
  • Force majeure. Neither party is liable for failures caused by events beyond reasonable control.
  • Headings. Section headings are for convenience only and have no legal effect.
  • No third-party beneficiaries. Except for the indemnified parties named in Section 18, there are no third-party beneficiaries to these Seller Terms.
